Terms of Service

1. Acceptance of Terms

By creating an account, checking the "I agree" box during registration, or otherwise accessing or using CompliantLens ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

CompliantLens provides estimated compliance information for NYC buildings subject to Local Law 97 (LL97), based on publicly available energy benchmarking data submitted under Local Law 84 (LL84). Our estimates are for informational purposes only and are not a substitute for professional engineering studies, legal counsel, or official compliance filings with the NYC Department of Buildings.

3. Data Accuracy & Limitations

The building energy data displayed on CompliantLens is sourced from NYC Open Data and is self-reported by building owners. The City of New York does not independently verify this data for accuracy. As a result, the data may be incomplete, outdated, or contain errors.

Carbon coefficients used in our calculations are based on published regulatory values and may change over time. Allowable deductions such as Renewable Energy Credits (RECs), electrification offsets, and approved adjustment applications can significantly reduce actual penalties. Retrofit cost and savings estimates are based on industry averages and are not site-specific engineering quotes.

4. Not Professional Advice

CompliantLens does not provide legal, financial, engineering, or tax advice. The compliance estimates, penalty projections, and retrofit recommendations presented on the platform should not be relied upon as a basis for making compliance decisions without consulting licensed professionals including energy engineers, attorneys, and certified public accountants. CompliantLens is not an engineering firm and does not prepare LL97 compliance filings.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that the information provided will be accurate, complete, or timely.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLIANTLENS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, PENALTIES INCURRED, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to CompliantLens in the twelve (12) months preceding the claim.

7. Subscriptions & Billing

Paid subscriptions are billed on a recurring basis (monthly or annually) through Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until then. No refunds are provided for partial billing periods. Free trials, where offered, automatically expire without charge if not converted to a paid subscription.

8. Acceptable Use

You agree not to:

• Scrape, resell, or redistribute data obtained from CompliantLens
• Use automated means to access the Service in a manner that exceeds reasonable request volumes or rate limits
• Share account credentials with third parties
• Attempt to gain unauthorized access to other users' accounts or our systems
• Use the Service for any unlawful purpose or in violation of applicable regulations

9. Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, abusive behavior, or any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. User data will be retained or deleted in accordance with our Privacy Policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.

11. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
